1. Acceptance of Terms

By accessing or using the Automated Savings platform ("Service") operated by Automated Savings AI Inc., you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Description of Service

Automated Savings is an AI-powered procurement intelligence platform that analyzes organizational spend data to identify savings opportunities, classify suppliers, and track procurement pipeline performance. The Service includes the web application, API, and related documentation.

3. Account Responsibilities

• You must provide accurate account information
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorized access
• One account per person; sharing credentials is not permitted

4. Acceptable Use

You agree not to:

• Upload data you do not have the right to process
• Attempt to access other clients' data or circumvent security controls
• Use the Service for any unlawful purpose
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell or redistribute the Service without authorization

5. Data Ownership

You retain all ownership rights to the data you upload to Automated Savings. We claim no ownership over your business data. We use your data solely to provide the Service to you, and it is stored in your isolated database schema.

6. Subscription & Billing

• Paid plans are billed monthly or annually as selected at subscription time
• Free trials do not require payment information
• You may cancel your subscription at any time; access continues until the end of the billing period
• Prices may change with 30 days' advance notice
• Refunds are handled on a case-by-case basis

7. Service Level

We strive for 99.9% uptime for all paid plans. Enterprise plans include a formal SLA with defined remedies. We reserve the right to perform scheduled maintenance with reasonable advance notice.

8. Intellectual Property

The Service, including its design, algorithms, and documentation, is owned by Automated Savings AI Inc. and protected by intellectual property laws. Your subscription grants you a non-exclusive, non-transferable license to use the Service.

9. Limitation of Liability

To the maximum extent permitted by law, Automated Savings AI Inc. shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

10. Termination

Either party may terminate the agreement at any time. Upon termination, you may request export of your data within 30 days. After 90 days, your data will be permanently deleted.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
